1. Agreement and scope

These Terms and Conditions govern access to and use of eshelproperties.com, its locale versions, property directories, listing pages, maps, articles, campaign pages, forms, downloadable material, and other public digital services operated by Eshel Properties L.L.C. (Eshel, we, us, or our). They apply to every visitor, prospect, buyer, seller, landlord, tenant, investor, applicant, participant, or other person who uses the website (you or user). By using the website, submitting information, or contacting us through it, you confirm that you have read and agree to these Terms and our Privacy Policy.

These Terms regulate the website only. A property viewing, brokerage appointment, reservation, memorandum, tenancy contract, sale and purchase agreement, property-management mandate, developer document, mortgage arrangement, or other transaction may be governed by separate written terms. If a transaction document conflicts with these Terms on a transaction-specific matter, the signed transaction document prevails, subject always to mandatory law. If you do not accept these Terms, do not use the website or submit information through it.

2. About Eshel Properties

Eshel Properties L.L.C. is a United Arab Emirates real-estate business based at Office 303, Empire Heights Tower B, Dubai. The website presents property opportunities and advisory services concerning off-plan projects, secondary-market properties, rentals, sales, areas, developers, and related client support. References to an agent, broker, adviser, developer, owner, landlord, portal, lender, conveyancer, authority, or other third party do not mean that the third party operates the website or that Eshel guarantees that party's acts.

Real-estate activity is regulated. Services that require a licence, registration, broker card, advertising permit, owner mandate, developer authorisation, or other approval will be performed only within the authority actually held by Eshel or the relevant professional. Website access does not appoint Eshel as your exclusive broker, create a fiduciary relationship, or authorise Eshel to sign or receive money for you. An appointment arises only through an authorised written agreement or as otherwise recognised by applicable law.

3. Eligibility and lawful use

You must have legal capacity to use the website and to provide any instruction submitted through it. If you act for a company, family member, trust, owner, buyer, tenant, or other person, you represent that you have authority to do so and will provide evidence when reasonably requested. The website is not directed to children. A person under eighteen must not submit an enquiry or transaction instruction without an authorised parent or guardian.

You may browse and use the website for genuine personal or business property purposes. You must comply with UAE law and the law applicable where you access the website. You must not use the website to facilitate fraud, sanctions evasion, money laundering, unlawful discrimination, harassment, impersonation, misleading advertising, unauthorised brokerage, data harvesting, intellectual-property infringement, or any activity that harms Eshel, another user, a client, a property owner, a developer, or a regulator.

4. Website information is not a binding offer

Property listings, prices, rental amounts, availability, areas, completion dates, payment plans, service charges, yields, images, floor plans, maps, amenities, views, furnishing, permits, and descriptions are provided for general information and discovery. Unless an authorised transaction document expressly says otherwise, website content is not an offer, acceptance, reservation, warranty, valuation, legal opinion, financial promotion, or promise that a property remains available on stated terms.

Real-estate information changes quickly and may originate from owners, landlords, developers, property portals, customer relationship systems, government records, agents, or other sources. A listing may be withdrawn, reserved, sold, leased, repriced, corrected, or updated without immediate website reflection. Images may be renders, staged photographs, community images, or illustrations. Dimensions may be approximate and units may be converted. You must verify every fact material to your decision through current official documents, physical inspection, measurement, and qualified independent advice before committing funds or signing.

5. No legal, tax, financial, immigration, or technical advice

Website content is not legal, tax, accounting, investment, mortgage, insurance, immigration, engineering, surveying, environmental, structural, valuation, or other regulated professional advice. References to investment potential, residency pathways, financing, rental demand, capital appreciation, return, or market conditions are general observations, not guarantees. Currency conversions are indicative and can differ from the rate available to you. Calculators and comparisons are decision aids only.

Property decisions can involve material risk, transaction costs, changing regulation, construction risk, financing risk, currency exposure, vacancy, service charges, taxes outside the UAE, and personal suitability. Obtain advice from independently qualified professionals who understand your objectives and jurisdiction. Eshel may introduce or coordinate third-party advisers, but you decide whether to appoint them and should review their credentials, scope, fees, conflicts, and terms directly.

6. Enquiries and contact forms

When you submit a form, you must provide accurate, current information and a telephone number or email address that belongs to you or that you are authorised to use. You should describe your property objective honestly and avoid placing passwords, payment-card details, health information, passport copies, bank statements, or other unnecessary sensitive material in free-text fields. A submission is a request for contact; it does not reserve a property, fix a price, create priority, or require Eshel to accept an instruction.

Our forms may transmit your name, phone, email, comments, selected listing details, page URL, page language, source, submission time, IP address, and approximate IP-derived city, region, and country to our lead-management systems. We use this context to understand the enquiry, route it to an appropriate adviser, prevent abuse, and maintain records. Details are explained in the Privacy Policy. If you submit information concerning another person, you must have a lawful reason and must ensure that person receives the relevant privacy information.

7. Calls, messages, email, and WhatsApp

By asking us to contact you, you authorise service communications reasonably connected with your enquiry through the channels you provide, which may include telephone, email, SMS, or WhatsApp. Service communication is distinct from unrelated direct marketing. Marketing calls and messages will be made only where permitted and should comply with consent, company-number, timing, identification, suppression, and Do Not Call Registry requirements applicable in the UAE. You may tell us to stop optional marketing at any time.

Calls may be recorded where lawful for quality, training, evidence, dispute handling, or regulatory compliance. Where recording is required or used, an appropriate notice will be given. Electronic communication is not guaranteed secure or instantaneous. Do not send funds, passwords, one-time codes, card data, or unrequested identity documents through an unverified message. Verify payment and bank instructions using an independently confirmed Eshel contact because email and messaging accounts can be impersonated.

8. Listings, maps, media, and third-party data

Coordinates, map markers, travel context, community boundaries, and external map links are approximate and may be incomplete or inaccurate. They do not establish a legal boundary, title, access right, school zone, transport time, flood risk, view, noise level, or planning status. Visit the location and use official cadastral, planning, title, and authority sources. Floor plans and media must not be used for construction, fit-out, furniture procurement, or measurement without professional verification.

Listings can include data supplied through PixxiCRM, owners, landlords, developers, portals, and agents. Eshel takes reasonable steps to present useful public information but does not independently warrant every third-party field. Publicly visible permit or reference numbers should be checked against the competent authority where material. Internal owner data, transaction notes, and confidential CRM information are not intentionally published; attempting to discover or exploit such information is prohibited.

9. Viewings, reservations, deposits, and transactions

A viewing request is subject to owner, landlord, developer, occupant, building, security, and agent availability. You must follow access, identification, safety, photography, and conduct requirements at a property. Do not contact occupants, enter restricted areas, copy access credentials, or photograph personal belongings without permission. You are responsible for supervising children and guests who attend with you.

Never transfer a reservation fee, deposit, rent, purchase price, commission, or other money merely because a website page or message requests it. Confirm the recipient's legal identity, bank account, authority, purpose, refund terms, and supporting agreement. Eshel will not be responsible for money sent to an unauthorised or fraudulent account where instructions were not independently verified. Transaction rights, cooling-off rights if any, commission, deposits, refunds, completion, default, and handover are governed by the applicable signed documents and law.

10. Your due diligence

Before entering a transaction, you should verify ownership and authority; title and encumbrances; developer and project registration; escrow arrangements where applicable; advertising and broker permits; property condition; measurement; completion and handover status; service charges; utility and community obligations; tenancy status; notices; maintenance; insurance; financing; visa consequences; tax consequences; and all material restrictions. The appropriate checks depend on the property and transaction.

You remain responsible for deciding whether a property, price, payment plan, financing structure, rental strategy, or service is suitable. Eshel's assistance does not remove your duty to read documents, ask questions, obtain translations where necessary, and seek independent professional advice. If information is inconsistent, do not rely on the more favourable version; pause and request written clarification from an authorised source.

11. Browser storage, preferences, and comparison tools

The website may store selected currency, area unit, comparison selections, campaign access state, locale, or similar preferences in browser storage or cookies. These functions are provided for convenience and can be cleared or changed by browser settings. They may not synchronise between devices and can be lost when storage is cleared. Comparison scores, colour coding, rankings, or highlighted metrics are simplified presentations based on available fields and are not recommendations.

You must not manipulate stored values, query parameters, scripts, or client-side controls to gain access to restricted content, submit duplicate campaign entries, misrepresent consent, alter official results, or interfere with another user. We may invalidate corrupted, fraudulent, automated, or unauthorised activity and may use server-side records rather than browser state where they conflict.

12. Campaigns, competitions, downloads, and gated content

A campaign, competition, tour, event, brochure, prize, promotion, or gated download may have separate rules displayed on its page. Those specific rules apply in addition to these Terms and prevail for the campaign if inconsistent. Eligibility, deadlines, scoring, allocation, availability, travel, documentation, costs, prizes, verification, disqualification, and cancellation depend on the relevant rules. Submission does not guarantee selection, attendance, allocation, a prize, or a property opportunity.

You must not use bots, scripts, multiple identities, false contact details, coordinated manipulation, or technical interference. We may investigate entries, require identity and eligibility evidence, correct obvious errors, enforce published deadlines, and disqualify conduct that undermines fairness or law. Marketing consent must not be inferred merely from participation unless separately and lawfully obtained.

13. Careers and applicant submissions

Career information and application forms invite expressions of interest only. A vacancy may change or close, and submission does not guarantee review, interview, sponsorship, employment, or response. Applicants must provide truthful information and must not submit confidential material belonging to a current or former employer. References, credentials, identity, work authorisation, and professional licences may be verified where lawful and relevant.

Employment arises only through a duly authorised written offer and contract satisfying applicable requirements. No website statement, informal message, interview comment, or draft creates employment or guarantees compensation, visa status, duties, location, or duration. Applicant information is handled under the Privacy Policy and any additional recruitment notice.

14. Prohibited technical conduct

You must not probe, scan, attack, overload, scrape at scale, reverse engineer, bypass access controls, introduce malware, exploit vulnerabilities, forge requests, interfere with availability, or attempt unauthorised access to the website, APIs, hosting, CRM, storage, analytics, admin areas, source code, or another person's data. You must not use automated means to copy listings, images, floor plans, team profiles, articles, or databases except where we provide written permission or a search-engine directive expressly permits ordinary indexing.

Security research requires prior written authorisation defining scope and disclosure. If you discover a suspected vulnerability or accidental exposure, stop accessing the affected material, preserve minimal evidence, and notify us. Do not publish, retain, change, share, or use exposed data. We may block traffic, rate-limit requests, preserve logs, notify affected parties or authorities, and pursue remedies where reasonably necessary.

15. Intellectual property and permitted sharing

The website's design, code, text, selection, arrangement, graphics, logos, trade names, articles, databases, and original media are owned by or licensed to Eshel and protected by applicable intellectual-property laws. Property media may belong to owners, developers, photographers, portals, or other licensors. No ownership transfers to you. You may view pages, print a reasonable personal copy, and share an unmodified public website link for genuine property consideration.

You may not reproduce, republish, sell, syndicate, remove notices from, frame, create derivative databases from, train an artificial-intelligence model on, or commercially exploit website content without written permission from the relevant rights holder. Permission can be revoked if use is misleading, outdated, unlawful, or harmful. References to third-party marks do not imply ownership, endorsement, or affiliation beyond the stated context.

16. Information and content you provide

You retain rights you lawfully hold in messages, documents, photographs, listing details, testimonials, or other material you provide. You grant Eshel a non-exclusive right to receive, store, reproduce, adapt, translate, and share that material only as reasonably necessary to respond, provide requested services, operate the website, maintain records, comply with law, and exercise or defend rights. Public marketing use requires appropriate authority and any additional approval that law or contract requires.

You represent that submitted content is accurate, lawful, non-infringing, not defamatory, and does not violate confidentiality, privacy, court orders, sanctions, or another person's rights. Do not submit forged documents, manipulated property images, fake reviews, malicious files, or unlawfully obtained personal data. We may reject, quarantine, remove, or preserve content where reasonably necessary for security, compliance, investigation, or service delivery.

18. Availability, changes, and maintenance

We aim to keep the website useful and secure but do not promise uninterrupted, error-free, or universally compatible access. Features can be unavailable because of maintenance, network conditions, third-party services, cybersecurity events, legal restrictions, data-source delays, force majeure, or changes in business priorities. We may add, modify, suspend, or withdraw a page, listing, tool, language, campaign, or integration without guaranteeing advance notice.

You are responsible for compatible devices, connectivity, browser settings, and reasonable security precautions. Do not rely on the website as the sole repository of a deadline, transaction document, receipt, or instruction. Preserve official documents through the appropriate transaction channel and contact us if a time-sensitive matter appears affected by an outage.

19. Disclaimers

To the extent permitted by law, the website is provided on an as-available basis. We do not give an implied guarantee that every listing is accurate, available, complete, suitable, free of third-party rights, or capable of producing a stated outcome. Nothing excludes an express commitment in an authorised signed agreement or a mandatory consumer right. We do not disclaim responsibility for fraud, wilful misconduct, or liability that applicable law does not permit us to exclude.

Market commentary and historical information do not predict future performance. Developer timelines, government policy, financing conditions, currency rates, supply, demand, rent, and values can change. A website error should be reported and will be corrected where reasonably practicable; it does not automatically create a right to transact on an obvious mistake.

20. Limitation of liability

Subject to mandatory law, Eshel is responsible only for direct loss that is reasonably foreseeable and caused by our proven breach of these Terms or applicable duty. We are not responsible for loss caused by your failure to verify information, unauthorised payment instructions, third-party acts, independent professional advice, market movement, rejected financing, unavailable property, developer delay, browser storage loss, external links, or events beyond reasonable control.

We will not be liable for indirect, incidental, special, punitive, or consequential loss, lost opportunity, lost profit, lost rent, business interruption, or loss of data arising from ordinary public website use, except where exclusion is prohibited. Any limitation is applied consistently with UAE consumer law and the nature of the service. Transaction-specific liability may be addressed separately in the applicable signed agreement.

21. Responsibility for misuse

You are responsible for losses, claims, and reasonable costs arising from your unlawful use, fraud, impersonation, rights infringement, malicious technical activity, unauthorised content, or material breach of these Terms, to the extent established under applicable law. This provision is not intended to shift Eshel's own legal responsibility to a consumer or to impose a penalty unrelated to actual harm.

If another person uses a device, contact channel, or business identity you control, notify us promptly of suspected unauthorised activity. Cooperation may include preserving evidence, confirming instructions, correcting false content, stopping access, and assisting lawful investigation. Do not make admissions or public statements on Eshel's behalf.

22. Suspension and enforcement

We may restrict or block access, reject submissions, remove content, invalidate campaign activity, or refer a matter to a provider or authority where reasonably necessary to protect users, systems, property rights, transaction integrity, or legal compliance. Measures should be proportionate to the issue. We may preserve relevant information despite a deletion request where needed for security, fraud prevention, claims, or law.

Termination of website access does not affect provisions that by nature should continue, including intellectual property, confidentiality, transaction records, disclaimers, liability, dispute resolution, and lawful data retention. If you believe an action was mistaken, contact us with sufficient information for review.

23. Privacy and cookies

Our Privacy Policy explains what personal data we collect, why we use it, who receives it, international transfers, retention, security, marketing choices, and your rights. The website uses essential storage and may use analytics or advertising technologies, including Google Ads and Microsoft Clarity. Where law requires a choice before a non-essential technology is used, we will implement the applicable consent control. Browser settings may also limit storage, but disabling technology can affect functionality.

Acceptance of these Terms is not blanket consent to every form of personal-data processing or marketing. Processing relies on the legal ground appropriate to its purpose, and optional consent can be withdrawn for the future. Contact us if you believe information was submitted without authority or if you wish to exercise a privacy right.

24. Changes to these Terms

We may update these Terms to reflect website features, services, providers, law, regulatory guidance, risk, or business changes. The current version and effective date will be published on this page. A material change will be highlighted or otherwise communicated where reasonably appropriate. Changes apply prospectively from their effective date and do not rewrite an already signed transaction agreement.

Continuing to use the website after an updated version takes effect means you accept the revised website terms. If you do not accept them, stop using the website. Keep a copy of the version relevant to a time-sensitive transaction or dispute.

25. Governing law, complaints, and contact

These Terms are governed by the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Dubai. The courts of Dubai have jurisdiction unless mandatory law or a signed transaction agreement provides another competent forum. Before commencing proceedings, the parties should attempt in good faith to resolve the issue through written communication without preventing urgent relief or a mandatory complaint right.

Consumer, data-protection, telecommunications, or real-estate complaints may also be submitted to the competent UAE authority where applicable. Appendix A. Property transaction checklist

This checklist is a practical orientation and is not a substitute for transaction-specific advice. For every property, confirm the legal identity and authority of the owner, landlord, developer, broker, and person signing; the title, unit, plot, parking, storage, and common-area details; the broker card and office authority where required; the advertising permit and listing mandate; whether the property is freehold, leasehold, jointly owned, mortgaged, tenanted, inherited, under construction, or subject to another restriction; and which authority, trustee office, developer, bank, or registration channel must participate. Names, numbers, and payment instructions should match current official documents rather than a screenshot or forwarded message.

For an off-plan purchase, verify project and developer registration, escrow-account details, the exact unit and plan, reservation terms, sale and purchase agreement, payment milestones, construction and handover provisions, permitted changes, area variation, service-charge treatment, assignment restrictions, default consequences, defect process, and registration requirements. Renderings, show units, brochures, and sales presentations can illustrate an intended result but do not replace the executed contract and approved plans. Ask what happens if completion, amenities, views, layouts, finishes, or payment dates change, and obtain independent advice before signing or paying.

For a ready or secondary-market purchase, investigate title and encumbrances, mortgage discharge, seller authority, tenancy status, notices, vacant possession, service-charge clearance, developer or community no-objection requirements, condition, alterations, approvals, utilities, insurance, measurement, fixtures, completion funds, transfer fees, commission, trustee process, and key handover. Arrange a suitable inspection and, where appropriate, a survey. A viewing is not a technical inspection. Do not assume visible occupation, keys, utility use, or possession proves ownership or the right to sell.

For a tenancy, verify landlord authority, property identity, rent, deposit, commission, payment instruments, term, renewal and notice provisions, maintenance allocation, utilities, cooling, parking, inventory, move-in rules, registration, occupancy restrictions, subletting, pets, fit-out, early termination, and condition evidence. Photograph and document condition through the agreed process. Do not rely on an oral promise that contradicts the tenancy contract or mandatory law. Preserve receipts and copies of signed documents.

For a seller or landlord instruction, confirm your authority, co-owner approvals, mortgage or tenancy constraints, accurate property facts, asking terms, permitted media, keys and access, advertising mandate, broker arrangement, commission, required permits, viewing rules, offer handling, disclosure obligations, and the process for accepting or rejecting an offer. Tell Eshel promptly if price, availability, condition, authority, occupancy, or material facts change. Do not instruct multiple parties in a way that creates misleading duplicate listings or conflicting commitments.

For financing or investment analysis, distinguish an illustration from an approved facility or guaranteed return. Check eligibility, valuation, loan-to-value, interest or profit rate, fees, insurance, early settlement, drawdown, currency, income verification, and the consequences if financing is delayed or refused. Model acquisition costs, registration, commission, service charges, maintenance, vacancy, management, furnishing, financing, currency, tax in relevant jurisdictions, and exit costs. Rental and capital-growth assumptions should be stress-tested rather than treated as promises.

Before transferring money, independently verify the legal recipient, account name, bank, currency, amount, purpose, document reference, refund conditions, and authority. Use a trusted contact method separate from the message containing the instruction. A last-minute account change, pressure to avoid official channels, request for cryptocurrency or a personal account, refusal to provide documents, or inconsistent contact identity should be treated as a fraud warning. Pause the transaction and escalate. Eshel cannot reverse a transfer made to an impersonator merely because the fraudster copied website content or branding.

Before final signature, read every document in a language you understand, compare schedules and attachments, check blank fields and amendments, identify deadlines, confirm who bears each fee, and retain the executed version. Ask questions while there is time to investigate. Website browsing, an adviser conversation, and this checklist cannot determine whether a particular transaction is legally, financially, technically, or personally suitable for you.

Appendix B. Website and real-estate glossary

Advertisement or listing means a public presentation of a property or service and is not necessarily a contractual offer. Availability means the status last known from the relevant source and can change before the website updates. Broker means a person authorised to conduct the relevant regulated brokerage activity; an adviser or website contributor is not automatically a licensed broker. Client means a person who has entered the relevant appointment or service relationship, while a visitor or enquirer may not yet be a client.

Developer means the entity responsible for developing a project, subject to the project documents and applicable registration. Off-plan generally describes property marketed before physical completion and involves project, construction, escrow, registration, and contract considerations different from ready property. Secondary market generally concerns resale or ready property, but labels on the website are navigational and should be checked against the actual legal and physical status.

Owner, seller, and landlord refer to the person represented as having the relevant title or authority; those descriptions require verification. Property information includes public facts, media, prices, permits, areas, amenities, location, payment plans, and related fields obtained from Eshel or third-party sources. Public reference or permit numbers assist identification but do not replace an authority search. A floor plan is an illustrative or technical source document whose scale and final accuracy must be verified for the intended use.

Enquiry means a request for information or contact and does not create a reservation. Viewing means arranged access to observe a property and does not amount to a survey, valuation, or acceptance. Reservation, booking, deposit, memorandum, tenancy contract, sale and purchase agreement, and transfer are distinct stages whose effect depends on their own documents and applicable law. A payment plan is a stated sequence of amounts and dates, not a financing approval or guarantee that circumstances will remain unchanged.

Website means the public Eshel digital experience covered by these Terms, including locale paths, listings, maps, forms, articles, campaigns, and tools. Service provider means a third party that supports hosting, CRM, analytics, communications, storage, maps, security, or another function. External service means an independently controlled portal, social network, messaging app, developer site, map, or professional service. User content means information you submit; it does not include information Eshel already possessed lawfully from another source.

Mandatory law means a rule that cannot validly be excluded by contract. Consumer rights remain effective despite a disclaimer where law requires them. Reasonable, reasonably necessary, and proportionate require a connection between an action and a legitimate purpose, with scope no broader than appropriate in the circumstances. Written includes an electronic record capable of being retained where applicable law recognises it. Headings assist navigation and do not narrow the operative text.

Appendix C. Complaints, notices, and evidence

A complaint should identify you, the property or website page, relevant dates, the people involved, what occurred, the outcome requested, and supporting documents. Preserve the original URL, listing reference, permit number, emails, messages, call details, receipts, agreements, and screenshots without editing them. Do not send unnecessary identity or financial data in the first message. We may request additional information through a more secure channel and may need to speak with staff, providers, owners, developers, portals, or other participants.

We will route the complaint to an appropriate function, acknowledge it where practicable, review available evidence, distinguish website content from a separate transaction agreement, and communicate an outcome or next step. Complex matters can require third-party records, legal advice, authority guidance, or additional time. Investigation does not admit liability. Confidentiality and another person's rights may limit what can be disclosed, but we will aim to explain the basis of the result.

Formal notices to Eshel should be sent to [email protected] and, where legally significant, delivered to Office 303, Empire Heights Tower B, Dubai, United Arab Emirates, with proof of delivery. A social-media comment, message to an individual agent, or website review may not constitute formal notice. Eshel may send notices to the contact details you provided or publish website-wide changes on the relevant page. Keep details current during an active matter.

Nothing in this process prevents urgent court relief, a mandatory statutory remedy, or a complaint to a competent authority. Depending on the subject, relevant channels can include Dubai Land Department or RERA, consumer-protection authorities, TDRA for telecommunications matters, the UAE Data Office for applicable privacy matters, police for suspected crime, or the courts. You are responsible for observing limitation, appeal, filing, and transaction deadlines; an internal complaint does not automatically suspend them.
